Myths About LLC Publishing

llc publishingYou can never escape a good myth and they pop up in all facets of life. Naturally some myths have popped up about LLC publishing so let’s separate the facts from the fiction.

Myth #1 – “An LLC is the same as any other type of corporation.” You might not have been paying attention when we discussed some of the differences awhile back. An LLC has different ownership structures and is not a tax entity. Most LLC’s are taxed as sole proprietorships. LLC’s are also formed with Articles of Organization, not Articles of Incorporation.

Myth #2 – “I can set up my LLC in Nevada and avoid income taxes.” Sounds like a smart plan, but it won’t work. Sure Nevada doesn’t pay income tax but your business has to have a presence there and you must actually do business there.

Myth #3 – “Corporations are safer than an LLC for avoiding liability.” There is a reason an LLC is called “limited liability.” The owners really do have a limited liability to their investment in the company. Any company can get sued, but corporations are not necessarily the safer option.

Myth #4 – “An LLC is only for small businesses.” This is just not true at all. Yes, there are more small businesses that form an LLC, but big businesses can benefit just as much and do. Chrysler is actually an LLC.

Do I Need a Lawyer for My LLC Formation?

This is your business and you don’t want to make any mistakes. A lot of times people wonder if they need to hire an attorney for this process. Unfortunately, there is no easy answer. It really depends on your specific business, how much knowledge you already have about setting up an LLC, and if you have the extra money to spend.

Not hiring an attorney can be very cost effective and if you’re on a tight budget, then you may have no choice but to opt out. However, not seeking legal counsel may cost you in the long run. Can LLC’s Save the Economy?

It’s been almost three years since the big collapse of the American stock market. Wall street’s antics have cost millions of jobs and have influenced people far, far away from downtown Manhattan. Since then, the housing market crashed in what seems to be a downturn across the country.

However, three years is long enough for the economy to start ticking again. Due to the stagnation of companies and their hesitation on hiring, many people have decided to take a different approach and open their own businesses. From selling arts and crafts to creating new tech companies, people are using this downturn to actually prepare for a profit.

The way to do that is to form an LLC. Though there are many forms of companies, if you are starting out and want to start a small business, the obvious option if simply to create an LLC and use your own company in order to start making money. The benefits of creating one are numerous, but the obvious advantages in risk taking and the availability of bankruptcy laws allow people to take risks.

Starting an LLC – The Checklist!

If you are considering forming an LLC, then you probably need to make sure you have all of your information in order. One of the best ways to organize information (and when you open an LLC you have a lot of it) is to create a checklist. But you know what’s better than creating a checklist? Having someone do it for you! That’s right. You’re a business owner so start thinking like one. Here is a checklist you can refer to when opening an LLC or incorporating a business:

  • Decide on a name for your business. Most companies are obligated to have “LLC”, or “Limited Liability Co.” as part of their name. Research and find out if the name is already taken. Be ready with a few other options in case it is. And the answer to your next question is Yes. “Apple” is already taken. Try a different name.
  • Register your name. Remember to also register it as a “fictitious business name” so you are “doing business as…” the name you choose. For example, your business can be registered as “Moving and storage LLC” and you will be doing business as: “Dani’s Movers.” That way your brand can be the same or different than your legal company name.
  • Create an LLC Operating Agreement.
  • Write your Articles of information.
  • Obtain Business licenses and permits.

Do You Want to Start an LLC or a Corporation?

create an llcWe’ve talked a lot on this blog about LLC formation and everything that goes along with it. However, USACORP Inc. doesn’t just handle the creation of LLCs; it also deals with corporations.

First of all, let’s discuss the major differences between LLCs and corporations, which lie in the ways they’re taxed. Corporations, for instance, are taxed at a corporate rate, while an LLC’s taxes are based on its owners’ Adjusted Gross Income. However, an LLC can be taxed as a corporation if this is more advantageous than being taxed the traditional way.

Another potential difference is the way they’re formed. An LLC can be formed by one person, who can file profits from the business on his or her own personal taxes. A corporation, though, must be an entirely separate legal entity, for which an Employer Identification Number (EIN) has to be procured. (You may remember in our post from a couple weeks ago we discussed how to apply for an EIN — we mentioned that an EIN for an LLC is necessary only if employees will be hired. This is still the case, though we do recommend having one either way, for the simplicity of keeping your business-related taxes separated from your personal taxes.)

Corporations and LLCs are alike in some ways, too, primarily in that they both limit the liability their owners or shareholders can face in the instance of debt or lawsuits against the business.
